Kommanditgesellschaft#
Kommanditgesellschaft (KG, limited partnership), like the Offene Handelsgesellschaft, OHG a partnership having no legal personality, entitled to run a business as a fully qualified merchant. Only some of the partners have full personal liability (general partners), whereas the liability of the others (limited partners) is limited to their capital contribution. Otherwise the standing and operation of limited partnerships (KGs) is governed by the provisions for general partnerships (subsidiarity principle). Unless the partnership agreement contains provisions to the contrary, limited partners are excluded from business management; net profits are distributed as follows: the partners receive 4% interest on their capital contributions, and any additional profits or losses are equally distributed among them; partners do not have a right to withdraw money not related to profits.
